Terms of Service

1. Agreement and eligibility

These Terms govern TownChirp and related services provided by APM Apps LLC ("TownChirp," "we," "us"). By selecting Accept and Continue, you agree to these Terms, including the Community Safety Standards, and acknowledge the Privacy Policy. Additional terms presented for a particular feature apply to that feature. If you do not agree, do not use the service. You must be at least 13. If you are under 18 or the age of legal majority where you live, you may use the service only with permission and supervision from a parent or legal guardian who has reviewed and agreed to these Terms. A parent or guardian authorizing use agrees on their own behalf to supervise that use to the extent permitted by law. Users under the age of majority must not independently engage providers, enter paid service contracts, or offer regulated services; a legally authorized adult must handle those engagements. We do not assume that a minor can waive legal rights or incur contractual obligations merely by pressing an acceptance button. A person acting for a business represents that they have authority to bind it. These Terms do not waive rights that applicable law makes nonwaivable.

2. Marketplace role; no emergency services

TownChirp supplies tools for finding and communicating with independent service providers and businesses. Unless we expressly agree otherwise in writing, we are not a party to a customer-provider agreement, employer, contractor, professional adviser, insurer, escrow agent, or guarantor. Users determine the scope, price, schedule, payment, permits, safety precautions, and performance of their engagements. Providers are responsible for required licenses, insurance, taxes, permits, personnel, and legal compliance. Users must independently evaluate qualifications, references, identity, and suitability.

TownChirp is not connected to 911, does not dispatch emergency responders, and is not monitored for emergencies. Do not use it to report an immediate threat to life, health, safety, or property. Call 911 or the applicable emergency service.

A profile, badge, match, affiliation, or verification status describes only the particular check or information stated. It is not a comprehensive background check, endorsement, professional certification, assurance of insurance, or guarantee of safety or work quality. We do not perform, supervise, inspect, warrant, or guarantee user-provided services.

3. Accounts and user responsibilities

Provide accurate information, protect credentials and verification codes, and promptly report unauthorized access. Do not impersonate others or allow unauthorized account use. You are responsible for your authorized account activity and for people you authorize to act for your business. This provision does not impose liability for unauthorized activity where law provides otherwise. We may request verification or restrict features to address fraud, safety, or eligibility concerns.

4. Content ownership and operating license

You retain ownership of content you submit. You represent that you have the permissions necessary to submit it and authorize the uses described here, including permissions for third-party personal information, photographs, likenesses, and confidential materials. Do not upload content you lack authority to disclose.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, and display your content to operate the requested service, provide support, moderate abuse, secure the platform, and satisfy lawful obligations. We may authorize contracted service providers to perform these functions under appropriate restrictions. Private content is shared according to the feature, its intended recipients, applicable permissions, and the Privacy Policy; this license does not make private messages public.

The operating license ordinarily ends when the content is deleted from active systems, subject to reasonable backup cycles, records lawfully retained for safety, disputes, or compliance, and copies legitimately received by other users. We do not promise that we can erase another person's independently retained copy.

5. AI features and future model development

TownChirp may use automated systems and contracted AI providers to classify service descriptions, suggest job titles, match users to professions, improve search, detect abuse, and support service operations. Outputs can be inaccurate, incomplete, or biased. Verify important outputs and do not treat them as professional advice or a guarantee of a provider's suitability. We remain responsible for obligations that law imposes on us.

Subject to the Privacy Policy, applicable law, and any required separate permission, you authorize us to develop, evaluate, and improve TownChirp-related classification, matching, search, reliability, and safety models using properly de-identified or aggregate service and usage information. For content you own and authorize for this purpose, you grant the limited license needed to prepare datasets, annotate examples, evaluate, train, and operate those models. This is not an unrestricted license to sell identifiable information, disclose private content publicly, or train unrelated third-party general-purpose models.

Private chat content, chat attachments, and all uploaded photographs are excluded from model-training datasets. Precise locations, identity documents, credentials, and payment information are also excluded. Training use of identifiable service descriptions or other personal information requires a separately disclosed, affirmative opt-in, including guardian involvement where legally required. Declining optional training does not prevent ordinary marketplace access. These exclusions do not prevent ordinary storage, display, transmission, and processing needed to deliver marketplace features, respond to support or safety reports, or comply with law. If you choose photo-assisted registration, relevant photos may be processed by contracted AI providers to extract the profile or business details you request. This operational processing does not authorize photo training. Future photo-based problem-identification features and photo training require updated disclosures and any necessary permission. Historical data remains subject to the notices and permissions applicable when collected unless a lawful basis for a new use is established. No license or waiver overrides another person's rights or your statutory privacy rights. You do not receive royalties for authorized uses unless separately agreed in writing.

6. Conduct, moderation, and intellectual property

Respect is required on TownChirp. Do not submit or facilitate harassment, bullying, hate, threats, violence, sexual exploitation, child endangerment, fraud, scams, unlawful services, invasive personal information, spam, or intellectual-property violations. Do not bypass access controls, collect other users' data without authorization, distribute malware, manipulate reviews, or interfere with service security. Restrictions on reverse engineering apply only to the extent permitted by law.

We may review reports and remove content, restrict features, suspend accounts, or terminate access when reasonably necessary for violations, safety, fraud, legal requirements, or security. Emergency action may occur without prior notice; other notice or appeal rights apply where required. Report concerns using in-app controls or support@townchirp.com. See the Community Safety Standards for enforcement and appeals. Intellectual-property complaints should identify the protected work, disputed material, contact information, and basis for the complaint and be sent to legal@townchirp.com. This contact is not a representation that a statutory copyright agent has been registered.

7. Fees, subscriptions, and third-party services

Prices, included benefits, limits, billing frequency, and renewal terms are shown before purchase. An automatically renewing subscription continues at the disclosed interval unless canceled through the applicable billing provider before renewal. Store purchases are billed and administered under the store's applicable terms. Uninstalling TownChirp or deleting an account does not itself cancel a store subscription. Manage cancellation through the store account. Refunds and unused benefits follow the purchase disclosures, applicable store rules, and mandatory law. We do not retroactively change a completed purchase's promised benefits except where lawful and properly disclosed.

Independent providers set their own service charges. Unless explicitly stated, TownChirp does not process or guarantee payment for their work. External services and links are governed by their operators' terms; we are responsible for our own legally imposed duties.

8. Privacy, security, and retention

The Privacy Policy describes collection, purposes, recipients, storage, retention, and rights. Do not submit payment-card details, passwords, government identification, medical information, or other sensitive material unless a feature expressly requests it for a stated purpose. We use reasonable safeguards but cannot guarantee that every system or communication is immune from compromise. This statement does not waive our security, confidentiality, breach-response, or privacy obligations.

9. Service availability and warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee continuous availability, error-free operation, accurate user content, successful matches, or any particular commercial result. Maintenance, network failures, security incidents, and third-party outages may affect access. Mandatory consumer warranties and remedies remain applicable.

10. Liability limitations and user disputes

TO THE EXTENT PERMITTED BY LAW, APM APPS LLC AND ITS PERSONNEL ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM THE SERVICE. TO THE SAME EXTENT, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID APM APPS LLC FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Payments made to independent providers do not count toward this amount.

These exclusions and limits apply only where lawful. They do not exclude liability for fraud, willful misconduct, gross negligence, death or personal injury where exclusion is prohibited, or statutory remedies and obligations that cannot lawfully be limited, including applicable privacy and data-security rights.

To the extent permitted by law, you release APM Apps LLC from claims arising solely from disputes between you and independent users concerning their services, statements, or conduct. This release does not cover our own actionable conduct or obligations, unknown claims where a specific lawful waiver is required, or nonwaivable rights.

11. Indemnification

To the extent permitted by law, you will indemnify APM Apps LLC against reasonable losses, damages, and costs resulting from third-party claims caused by your unlawful conduct, infringement through content you submit, or material violation of these Terms. This does not apply to losses caused by our own negligence or misconduct or impose obligations prohibited by consumer law. We will give reasonably prompt notice, permit reasonable participation in the defense, and will not agree to a settlement imposing an admission or nonmonetary obligation on you without your consent. For business accounts, these obligations also apply to authorized representatives' covered conduct.

Business transfers and assignment

To the extent permitted by applicable law, APM Apps LLC may sell, assign, or transfer TownChirp, all or part of its business or assets, these Terms and associated rights and obligations, and related user accounts, content, and personal information in connection with a merger, acquisition, reorganization, financing, bankruptcy, or asset sale, without obtaining your separate consent or providing transaction-specific notice, except where notice or consent is required by law or an applicable binding commitment.

We may disclose information reasonably necessary for due diligence to prospective transaction parties and their advisers under appropriate confidentiality, security, and use restrictions. A successor receiving personal information must honor applicable privacy commitments, user choices, and legal obligations. A transaction does not authorize retroactive expansion of data uses, cancellation of statutory rights, or use of private chats or photos for model training contrary to the applicable policy. Any materially different data use requires legally required notice and, where required, consent. This provision concerns a genuine business transaction and does not authorize an independent sale of personal information to data brokers.

12. Termination, changes, and disputes

You may stop using the service and request account deletion. Termination does not erase accrued payment obligations or valid provisions concerning ownership, lawful retention, liability, or dispute resolution. Material updates will be presented with an effective date and appropriate notice. When required, we will obtain renewed acceptance or separate consent before applying a change. We will not retroactively expand data-training permissions merely by editing these Terms.

Before filing a claim, you may contact legal@townchirp.com so we can try to resolve it informally. This does not prevent urgent relief or alter a legal filing deadline. Subject to mandatory protections where you live, Delaware law governs these Terms without regard to conflict-of-laws rules. These Terms impose no mandatory arbitration, class-action waiver, or exclusive venue. Mandatory local consumer protections remain applicable.

If a provision is unenforceable, the remaining Terms continue to the extent lawful. These Terms and applicable feature terms govern the service, without displacing statutory rights. Contact legal@townchirp.com for legal questions and support@townchirp.com for support.
